Integration and Reorganization of the JX Nippon Mining & Metals Group Precision Fabricated Products Business

JX Nippon Mining & Metals Corporation (head office: Otemachi 2-chome, Chiyoda-ku, Tokyo; president: Yoshimasa Adachi) announces the merger of three subsidiaries responsible for precision plating and precision stamping. These are: Sanyu Electronic Industry Co., Ltd. (head office: Ueno 1-chome, Taito-ku, Tokyo; president: Tateo Ohashi), Suzuki Manufacturing Co., Ltd. (head office: Sakitama, Nasu-shiobara-shi, Tochigi Prefecture; president: Shinzo Sakagami), and JX Metals Precision Technology Co., Ltd. (JXPT; head office: Otemachi 2-chome, Chiyoda-ku, Tokyo; president: Masahiro Tsuji). As a result of the merger, the production divisions of the three companies will be combined, while the marketing functions for precision fabricated products business will be concentrated in our firm, JX Nippon Mining & Metals Corporation.

The new company resulting from the merger is profiled below.

1. Date of merger: January 1, 2013
2. New company name: JX Metals Precision Technology Co., Ltd.
3. Location: Ueno 1-chome, Taito-ku, Tokyo
4. Paid-in capital: 90 million yen (wholly owned subsidiary of our company)
5. President: To be named later
6. Main business operations: Manufacture of precision components (produced by precision stamping and/or plating of precision rolled products)
7. Employees: Approx. 740 (target for end of March 2015)
8. Merger arrangement: Sanyu Electronic will absorb Suzuki Manufacturing and JXPT. The resulting entity will then be named JX Metals Precision Technology Co., Ltd.

As a result of the merger and concentration of functions, the Kakegawa Works of JXPT, already under construction, will be completed on schedule in January 2013, giving the JX Nippon Mining & Metals Group the capability for quickly meeting market needs in the precision fabricated products business. We will continue to build up our capacity for integrated supply of products in the areas of materials, stamping, and plating, which are all strengths of the JX Nippon Mining & Metals Group.
